The host is has 2 quad core processors and 32 gig RAM. This is one VM on the host and yes, we have other VM's on the host -- probably has about 10 other VM's on this box.

Is that your host with 4 procs and 8GB RAM or the Exchange VM?  Are you running other VM's on that host?
